1. Services Overview

Adify360 provides performance marketing including paid advertising, lead generation, conversion optimization, and Shopify marketing on a performance-based commission model.

2. Eligibility

Users must be 18+, have authority to bind themselves legally, and provide accurate business information.

3. Engagement & Payment Terms

  • Pricing: Fixed retainer, performance commission, or hybrid models.
  • Metrics: Leads, conversions, or net sales determine billing.
  • Lead Definition: "Qualified lead" defined by mutual agreement pre-launch.
  • Payment Timeline: 7–15 days; late payments may suspend campaigns.

4. Client Responsibilities

Clients must provide ad account access, accurate tracking data, and timely communication. Non-compliance may impact results without company liability.

5. No Guarantee of Results

The company makes no guarantees regarding lead numbers, revenue targets, or ROI, citing external factors like market conditions.

6. Data & Tracking

Tracking relies on Meta Pixel, Google Analytics, and CRM tools. Any discrepancies due to third-party tracking limitations are not our liability.

7. Intellectual Property

Company-created content remains company property unless otherwise agreed; clients may use deliverables for business purposes only.

8. Confidentiality

Both parties protect strategies, customer data, and financial information.

9. Termination

Either party may terminate with 7–15 days' notice or immediately for breach. Outstanding payments must be settled.

10. Limitation of Liability

Company isn't liable for indirect losses, platform issues, or revenue loss from external factors.

11. Indemnification

Clients indemnify the company against claims from their operations, misleading ads, or platform policy violations.

12. Modifications

Terms may be updated; continued use implies acceptance.

13. Governing Law

Indian law applies.
